End User License Agreement (EULA)

Effective Date: May 1, 2026

This End User License Agreement ("EULA") is entered into by and between you ("User" or "you") and Strip Pay Solutions, LLC ("Company", "we", "us", or "our"). This EULA governs your access to and use of the mobile application T!ps ("App").

1. Acceptance

By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not use the App.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • download, install, and use the App on a mobile device you own or control,
  • solely for your personal or internal business purposes,
  • in accordance with the App's intended functionality.

3. Mobile App Only

This license applies only to the mobile application version of tips-app. Any use of backend services or other systems not explicitly provided through the mobile app is outside the scope of this EULA.

4. Restrictions

You agree not to:

  • copy, modify, reproduce, distribute, or create derivative works from the App,
  • reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure,
  • rent, lease, lend, sell, sublicense, or otherwise transfer rights to the App,
  • use the App in any way that violates applicable law,
  • use the App to store, transmit, or share illegal content,
  • circumvent, disable, or otherwise interfere with security-related features of the App,
  • use the App for any commercial purpose other than as expressly permitted here.

5. Ownership

The App and all intellectual property rights in the App remain our property or the property of our licensors. This EULA does not grant you any ownership rights in the App.

6. Updates

We may provide updates, upgrades, or modifications to the App. You agree that such updates may be automatically installed and are subject to this EULA.

7. Privacy and Data

Your use of the App may involve the collection, processing, and storage of information, including tipping information or user-generated data. Our privacy practices are described in a separate Privacy Policy. By using the App, you acknowledge and agree that we may collect and use data as described in that Privacy Policy.

8. No Warranty

The App is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be error-free, secure, or uninterrupted.

9. Limitation of Liability

To the maximum extent permitted by law, Strip Pay Solutions, LLC will not be liable for:

  • direct, indirect, incidental, special, consequential, or punitive damages,
  • loss of profits, revenue, data, or business opportunities,
  • any damages arising from your use of or inability to use the App,
  • any issues relating to tipping data or payment processing.

10. Indemnification

You agree to indemnify and hold harmless Strip Pay Solutions, LLC, its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, or expenses arising from your use of the App or violation of this EULA.

11. Termination

This EULA is effective until terminated. We may terminate or suspend your access to the App immediately if you breach this EULA or if we discontinue the App. Upon termination, you must stop using the App and delete all copies.

12. Governing Law

This EULA is governed by the laws of Nevada, United States, without regard to conflict of law principles.

13. Changes to this EULA

We may revise this EULA at any time. Continued use of the App after changes become effective constitutes acceptance of the revised EULA.
